SAIC Senior Vice President, Deputy General Counsel and Assistant Corporate Secretary in RESTON, Virginia

The Senior Vice President, Deputy General Counsel will be responsible for identifying, developing, and executing strategic initiatives, serving as a corporate secretary to the Board of Directors, and lead counsel on SEC, executive compensation and other matters. You'll play a pivotal role on SAIC’s leadership team, reporting directly to the Executive Vice President, General Counsel. Your responsibilities will encompass managing a broad range of legal affairs across SAIC and you will serve as a key advisor to our Board of Directors as well as lead advisor on business and policy initiatives. You'll have a hand in shaping the legal landscape of the organization.

The individual in this role will leverage corporate law and governance experience, teamwork and innovative thinking while partnering with stakeholders to drive creative solutions to complex legal challenges. The successful candidate will play a leading role in shaping and leading the strategic goals of the Office of General Counsel in furtherance of SAIC’s Corporate Strategy and financial objectives.

The Deputy General Counsel must possess outstanding legal and business acumen, be a team player willing to roll up their sleeves, possess a strong interpersonal skills, initiative and leadership experience. A successful applicant will have had considerable experience in corporate law, corporate governance, SEC and related regulatory requirements and executive compensation. Some experience in government contracts is a plus along with experience at a top law firm or corporation.

Responsibilities

· Develops and leads corporate legal strategy to promote and protect the company’s matters and assets.

· Applies enterprise risk management solutions and mitigation strategies aligned with corporate objectives to optimize operational performance.

· Develop and support global strategies with enterprise impact and manage and supervise external counsel and consultant in connection with such strategy development.

· Develops, leads, and supports internal audit and corporate compliance programs, including but not limited to data privacy and protection, federal government contracting compliance, etc.

· Oversees the delivery of legal services and contract support resources to accomplish corporate goals, strategies, and priorities.

· Maintains proper corporate interactions with relevant local, state, and federal governmental bodies, customers, and partners.

· Provide legal guidance and support to senior management on strategic projects, such as mergers and acquisitions, contracts, and litigation matters.

Consistently finds opportunities to strengthen and improve team culture of agility, prioritization, innovative thinking, trust, and inspiration

· Advises the CEO and other senior corporate officers on a variety of issues.

· Manages a team of corporate counsel who are involved in the drafting, evaluating, negotiating, and executing of a wide variety of different contracts covering a range of transactions.

· Communicates and presents information to stakeholders about all contract-related matters.

· Solves any legal- or contract-related problems that may arise with other parties and internally with the company itself.

· Provides legal guidance on all corporate functions.

· Reviews and trains staff to review government, non-government, commercial and nonprofit RFPs and advises management on risks and non-routine obligations required.

· Works to resolve and advise staff on escalated issues with internal/external customers by providing sound business solutions that support contractual terms and conditions and company policies.

Qualifications

  • Law degree from an ABA accredited law school and in good standing with the state bar of the jurisdiction in which your office will be located (or ability to gain licensure in the state in which your office will be located)

  • 18+ years of relevant legal experience, with previous government contracting experience highly preferred.

  • Proven ability to solve complex and dynamic problems and help to proactively shape the external environment.

  • Comfort taking on high-visibility, high-impact projects with exposure to executive leaders with strong communication skills.

  • Demonstrated ability to independently identify practical legal solutions to complex challenges, to influence key internal and external stakeholders, and to work effectively in high-pressure, matrixed environments.
